About the Role

We are seeking a detail-oriented Corporate Paralegal / Legal Operations Specialist to provide remote legal operations support to our growing business law firm. The initial scope of work will focus on business entity formations, annual reports and other corporate filings, while also assisting with a variety of legal operations and administrative projects.

The engagement is expected to begin at approximately 5 to 10 hours per week. As our firm's needs evolve and additional projects become available, there may be opportunities to take on additional work. Applicants should be available for regular overlap with Pacific Time business hours for training, meetings, and collaboration with our team.

About the Role

We are looking for a highly organized, detail-oriented, and tech-savvy Corporate Paralegal / Legal Operations Specialist to help support the day-to-day legal operations of our growing business law firm.

Initially, you will work closely with members of our operations and legal support team, who will provide hands-on training in the firm's systems, procedures, and workflows. Your initial responsibilities will focus primarily on preparing and submitting government filings related to the formation and ongoing maintenance of corporations, limited liability companies, and other business entities.

You will learn how we prepare and manage filings, gather information from clients and attorneys, maintain accurate corporate records, track compliance deadlines, and communicate with clients, registered agents, and government agencies. As you gain experience, you will be expected to take increasing ownership of these matters and manage recurring filing and compliance responsibilities accurately and efficiently.

As you become proficient with our systems and procedures, there will be opportunities to take on additional legal operations, administrative, and client-service responsibilities. Depending on the firm's needs and your skills and interests, this may include helping improve workflows, documenting procedures, implementing technology, and supporting other projects that make our team more efficient and our clients' experience better.

Key Responsibilities

  • Prepare and submit government filings related to the formation and maintenance of corporations, limited liability companies, and other business entities.
  • Prepare and file articles of incorporation, articles of organization, annual reports, California Statements of Information, foreign qualifications, amendments, dissolutions, and other entity maintenance filings.
  • Review filing requirements and verify that all submissions are complete, accurate, and timely.
  • Identify opportunities to improve the firm's systems, workflows, templates, and internal processes.
  • Gather information and supporting documentation from attorneys, staff members, clients, government agencies, and online resources.
  • Track filing deadlines, renewal dates, annual reports, and other corporate compliance requirements using the firm's calendaring and workflow systems.
  • Obtain business licenses and other government registrations as needed.
  • Maintain organized electronic corporate records, minute books, and other legal documentation.
  • Monitor the status of pending filings and communicate with government agencies, registered agents, clients, and attorneys regarding entity maintenance matters.
  • Enter and update information in the firm's practice management, document management, and workflow systems, including Microsoft 365, Clio, and other cloud-based legal technology platforms.
  • Assist with special projects and additional legal operations or administrative responsibilities as the firm's needs evolve.
  • Maintain and improve written procedures, checklists, and training materials for recurring legal operations, helping ensure that the firm's institutional knowledge is documented and easily transferable across the team.

Qualifications

  • Prior experience working in a law firm environment is strongly preferred.
  • Experience assisting with corporate, business, or government filings is preferred but not required.
  • Professional fluency in written and spoken English.
  • Strong organizational and time-management skills.
  • Careful attention to detail and a commitment to producing accurate work.
  • Ability to manage multiple assignments and shifting priorities.
  • Ability to follow written procedures and document recurring processes.
  • Comfort learning and using cloud-based legal, communication, and productivity systems.
  • Ability to work effectively and communicate consistently in a fully remote environment.
  • Experience supporting attorneys, executives, or professional-services firms is a plus.
  • Candidates located in Latin America and South America are encouraged to apply.
  • Availability for regular working-hour overlap with the Pacific Time Zone.
  • Reliable high-speed internet and a professional remote-work environment.
  • Experience with Clio and Microsoft 365 is preferred.
  • Demonstrated ability to learn new software and technology quickly.

Schedule and Engagement

  • Independent contractor position.
  • Approximately five to 10 hours per week initially.
  • Hours may increase as the candidate demonstrates proficiency and assumes additional responsibilities.
  • Potential to transition into a substantially expanded or full-time role.
  • Fully remote.
  • Regular availability during Pacific Time business hours will be required.
